Terms of Service

These Terms of Service ("Terms") govern access to and use of the Helm Pro website, application, and related services (collectively, the "Services") provided by Helm Pro LLC (doing business as Helm Pro) ("we," "us," or "our").
By creating an account, accessing, or using the Services, you agree to these Terms on behalf of yourself and the business entity you represent. If you do not agree, do not use the Services.
1. The Services
Helm Pro provides software for home service businesses, including AI-assisted SMS, missed-call recovery, lead management, scheduling, dispatch support, analytics, and related operational tools.
We may update, modify, or discontinue features from time to time. Beta or early-access features may be offered as-is with limited support.
2. Eligibility and accounts
You must be at least 18 years old and authorized to bind the business you represent.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You must provide accurate account information and keep it current.
3. Customer data and ownership
You retain ownership of the business data, customer lists, messages, and content you submit to the Services ("Customer Data").
You grant Helm Pro a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Services, secure the platform, and comply with law.
You represent that you have all rights and consents necessary for Helm Pro to process Customer Data as configured by you.
4. Acceptable use
You will use the Services only for lawful business purposes and in compliance with all applicable laws, regulations, and carrier or platform policies.
You will not use the Services to send unlawful, harassing, deceptive, or unsolicited communications; infringe intellectual property; attempt unauthorized access; reverse engineer the Services except where permitted by law; or interfere with platform security or performance.
You are solely responsible for the content of messages sent through your account, including AI-generated content sent on your behalf.
5. Messaging, telephony, and consent
If you use SMS, voice, or other messaging features, you are solely responsible for recipient consent, opt-out handling, quiet hours, do-not-call compliance, and industry-specific rules applicable to your business.
You will not use Helm Pro to send messages without valid consent or to misrepresent your identity or affiliation.
Carriers and messaging providers may filter, delay, or block messages that violate their policies.
6. AI features and human oversight
AI features are assistive tools, not a substitute for licensed professional judgment where required by law.
AI responses may be incorrect, incomplete, or inappropriate. You are responsible for configuring guardrails, reviewing outputs, and supervising use in your business.
Helm Pro is not liable for business decisions made based on AI suggestions or automated actions you enable.
7. Fees, subscription term, and automatic renewal
If you subscribe to a paid plan, you agree to pay the fees described at purchase or in an order form, plus any applicable taxes. Usage-based charges (for example, message or AI-usage overages) are billed in arrears for the period in which they were incurred.
AUTOMATIC RENEWAL. Subscriptions renew automatically at the end of each billing period — monthly for monthly plans, annually for annual plans — for a further period of the same length, and your payment method will be charged the then-current fee, until you cancel. You authorize this recurring charge when you subscribe.
HOW TO CANCEL. You may cancel at any time, without contacting us and without a fee, from Billing in the Console, or by emailing support@helmpro.io. Cancellation takes effect at the end of the billing period in which you cancel; you keep access until then and are not charged again.
Cancelling before the end of a period does not entitle you to a refund of the current period's fee, except where required by law. Fees already paid are otherwise non-refundable.
We may change pricing effective on your next renewal. We will give you at least thirty (30) days' notice by email before a price increase takes effect, and you may cancel before renewal if you do not agree.
If a payment fails, we may retry it and may suspend the Services after notice until the balance is paid.
8. Free trials, beta, and early-access features
If we offer a free trial, we will tell you its length and what happens at the end. Unless we say otherwise, a trial does not convert into a paid subscription without your affirmative agreement to be charged.
Features labeled beta, preview, or early access are provided as-is, may change or be withdrawn, are excluded from any commitment about availability or support, and should not be relied on for business-critical work.
9. Confidentiality and security
We will use reasonable measures to protect Customer Data as described in our Privacy Policy.
You are responsible for configuring user access, reviewing AI behavior, and using available security controls within the product.
10. Check capture and deposit
Helm Pro may provide tools to photograph a check, read the printed banking details, check image quality, and keep a record of it. These are record-keeping and quality tools only.
Helm Pro is not a bank, is not a money transmitter, and does not deposit, cash, negotiate, endorse, present, or otherwise process checks. Helm Pro never takes possession or control of funds represented by a check.
You are the depositor of record. Depositing a check is done by you, through your own financial institution, under your own deposit agreement with that institution. You are responsible for confirming that your deposit agreement permits you to deposit a check based on an image captured by your personnel, and for complying with that agreement, including any requirement to retain or destroy the physical check.
You are responsible for the accuracy of the amount, the banking details, and any endorsement, and for not presenting the same check more than once. Duplicate-detection and image-quality warnings in the Services are advisory aids and are not a guarantee that a check is valid, unique, collectible, or acceptable to any financial institution.
You instruct Helm Pro to process check images as your service provider and confirm you have any consent required from the person who wrote the check.
11. Third-party services
The Services may integrate with or rely on third-party providers (for example, telecommunications, cloud infrastructure, email, and authentication services). Your use of those services may be subject to their terms.
We are not responsible for third-party services outside our reasonable control.
12. Service levels and support
Unless you have signed a separate written service level agreement with us, the Services are provided without a committed uptime or response-time guarantee. We aim for high availability and will use commercially reasonable efforts to keep the Services running, but no specific level is promised.
We may perform maintenance that temporarily interrupts the Services, and will give advance notice for planned maintenance where practicable.
13. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, Helm Pro DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
We do not warrant that AI outputs will be accurate, that messages will always be delivered, or that the Services will meet every business requirement without configuration and oversight.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Helm Pro WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Helm Pro'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID Helm Pro FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You will defend, indemnify, and hold harmless Helm Pro and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your Customer Data, your use of the Services, messages sent through your account, violation of these Terms, or violation of applicable law.
16. Suspension and termination
You may stop using the Services at any time; see Section 7 for how to cancel a paid subscription.
We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay fees when due, or if required by law or a provider. Except where immediate action is needed to protect the platform or comply with law, we will give you notice and a reasonable opportunity to cure.
Upon termination, your right to access the Services ends.
17. Return and deletion of your data
You may export your Customer Data at any time while your account is active, using the export tools in the Console or by requesting an export from us.
For thirty (30) days after termination, we will keep your Customer Data available and will provide an export on written request to support@helmpro.io. We do not charge for a single standard export.
After that thirty (30) day window, we will delete or de-identify Customer Data in accordance with the retention schedule in our Privacy Policy, except where we are required to retain it by law, for an active legal hold, or for the limited purposes described in that policy.
If your account is terminated for non-payment, we will still honor an export request made within the thirty (30) day window.
18. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms with a new effective date and, where the change is material, give you at least thirty (30) days' notice by email or in-product notice before it takes effect.
If you do not agree to a material change, you may cancel before it takes effect; continuing to use the Services after that date means you accept the updated Terms.
We will not apply a material change retroactively to a dispute that arose before the change.
19. Governing law and disputes
These Terms are governed by the laws of the State of Iowa, USA, without regard to conflict-of-law principles, except where mandatory local law applies.
Except for injunctive relief, disputes will be resolved in the state or federal courts located in Iowa, and you consent to personal jurisdiction there.
Before filing a claim, each party agrees to try in good faith to resolve the dispute informally by contacting the other in writing and allowing thirty (30) days to respond.
20. Copyright and DMCA
If you believe content on the Services infringes your copyright, send a notice with the information required by 17 U.S.C. §512(c)(3) to legal@helmpro.io.
We will respond to valid notices and may remove content and terminate repeat infringers.
21. Export controls and sanctions
You represent that you are not located in, and are not a national or resident of, a country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list.
You will not use or export the Services in violation of U.S. export control or sanctions laws.
22. Force majeure
Neither party is liable for a failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government action, internet or telecommunications failures, and outages at third-party infrastructure providers. Payment obligations are not excused.
23. Assignment and notices
You may not assign these Terms without our prior written consent, except to a successor in connection with a merger, acquisition, or sale of substantially all assets. We may assign these Terms to an affiliate or a successor. Any other attempted assignment is void.
We will send legal notices to the email address on your account; you should send them to legal@helmpro.io. It is your responsibility to keep your account email current.
24. General
These Terms, together with the Privacy Policy, the Acceptable Use Policy, the Data Processing Addendum, and any order form or supplemental agreement, constitute the entire agreement between you and Helm Pro LLC regarding the Services.
If any provision is unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions remain in effect.
Our failure to enforce a provision is not a waiver. Sections that by their nature should survive termination — including ownership, fees accrued, disclaimers, limitation of liability, indemnification, and governing law — survive.
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship, and there are no third-party beneficiaries.
